Weaver Industries Code of Conduct
Scope
As a family-owned small business, our name and reputation are the integrity of our business. It is the integrity of the people who work with us that is our commitment between our team members and customers of the way we endeavor to conduct our business. The Weaver Industries Code of Conduct expresses the expectations we want to share with our interested parties. Our network includes all our team members, valued logistics, and supply-chain partners. These expectations are how Weaver Industries intends to commit to the highest standards of ethics and business, reflected in our daily operations and business relationships.
Legal Compliance
The management of Weaver Industries obtains all legally required permits, licenses, and registrations and ensures they stay valid. Compliance with laws and regulations is a fundamental requirement for corporate compliance activities, and the latest information on laws and regulations is always needed. Our top management use risk-based assessment to focus priorities on exercising management and thoroughly implementing measures to prevent a legal violation by clarification of compliance rules, training to keep everyone informed, and regular review of the status of compliance and audits. We expect our suppliers to fully follow all laws and regulations applicable to their business operations. We expect our suppliers to conduct all business in good faith, make all required disclosures, and avoid actual or the appearance of a conflict of interest.
Health And Safety
The company conducts business following applicable health and safety requirements and strives for continuous improvement in its health and safety policies and procedures. Team Members are expected to perform their work in compliance with applicable health and safety laws, regulations, policies, and procedures and always apply safe work practices in all locations. Our location communicates applicable safety and health requirements to visitors, customers, and contractors. Team Members must immediately report workplace injuries, illnesses, or unsafe conditions, including “near-misses.” We expect our suppliers to operate in a manner that actively manages risk, conserves natural resources, and protects the environment. We expect our suppliers to comply with all applicable safety, health, and environmental laws and regulations.
Anti-Corruption
We expect anyone conducting business on our behalf, including suppliers, from offering, making, or providing any improper payments of money or anything of value to government officials, political parties, candidates for public office, or other persons. We strictly prohibit facilitating payments intended to expedite or secure the performance of a routine government action like obtaining a visa or customs clearance, even in locations where such activity may not violate local law. We expect our suppliers to comply with the anti-corruption laws, directives, and regulations governing operations in the countries where they do business, such as the U.S. Foreign Corrupt Practices Act and the U.K. Bribery Act.
Gifts/Business Courtesies
We expect our Suppliers to compete on the merits of their products and services and not to use the exchange of business gifts, meals, or entertainment to gain an unfair competitive advantage. Our employees who are in any way involved in procurement decisions are subject to strict limitations and may not accept any business courtesy from a supplier that would create a conflict of interest or would tie them to a commitment of any kind. In any business relationship, our supplier must ensure that the offering or receipt of any gift or business courtesy is permitted by law and regulation and that these exchanges do not violate the rules and standards of the recipient’s organization and are consistent with reasonable marketplace customs and practices.
Respect For Human Rights
Our team members are expected to treat others as they would wish to be treated and be able to perform work in an environment free from physical, psychological, and verbal harassment or other abusive conduct. We do not tolerate any discrimination, harassment, or offense based on race, color, national origin, gender, religion, age, disability, political affiliation, sexual orientation, marital or family status. We ensure that every employee receives fair compensation for their work and that wages meet the applicable legal minimum levels. We do not allow child labor or tolerate any form of forced labor.
We expect our suppliers to adhere to regulations prohibiting human trafficking and follow all applicable local laws in the country or countries in which they operate. Our suppliers must refrain from violating the rights of others and address any adverse human rights impacts on their operations.
Environmental and Social Responsibility
Weaver Industries looks to do business in a responsible way. We make every effort not to waste energy. We use technology to minimize harm to the environment. All of us must work in a way that respects the environment and shows good corporate citizenship to the world around us. We are committed to preventing or sustainably reducing environmental impacts in our production, storage, transport, and usage of its products and raw materials.
Furthermore, land, air, and water use must follow all laws and directives of the relevant authorities. We strive to keep the environmental impact of our activities down to an absolute minimum. There are obvious collaborations between environmental responsibility and economic efficiency in areas such as resource use and waste management. We expect our suppliers to carry out their business in a manner that actively manages risk, conserves natural resources, and protects the environment.
Conflict Minerals
We expect our suppliers to take steps to determine if their products contain conflict minerals (tin, tantalum, gold, and tungsten) and, if so, implement a supply chain due diligence process to identify sources of these minerals and support efforts to eradicate the use of conflict minerals which directly or indirectly benefit armed groups in the Democratic Republic of Congo or adjoining countries.

Weaver Industries actively trains our team members and audits the use and transmission of information in our electronic communication environment. Cybersecurity is a paramount concern in business today. We have devoted our efforts to operating within a CMMC and NIST 800-171 framework to ensure our customers the security of their data.
We expect our suppliers to properly handle and protect all sensitive information, including confidential, proprietary, and personal information contained in information systems that suppliers use to conduct business with Weaver Industries. This also includes having the systems and processes in place that will safeguard and protect our sensitive information and inform us immediately if there is a release of our sensitive data.
